Terms & Refund Policy

1. The engagement

The NORTHMARK TARGET RESEARCH SPRINT is a custom research engagement. For a flat fee of $4,950 USD, Northmark Vantage delivers a ranked shortlist of 20+ substantiated acquisition targets in the United States and Canada, with deeper evidence profiles on the top 10, a market-screening summary, a Fit Score with Evidence Confidence per target, a polished final report, a source ledger, and the Research Fit Guarantee described below.

The sprint is research only. Northmark Vantage does not contact any target, make introductions, broker or list the company, value the business, negotiate, assist with financing, advise on transaction structure, or earn a success fee. We never imply that a target is willing or available to sell.

2. Sales are final once research begins

Northmark Vantage will not begin research during the first two (2) hours after completed payment. After that cancellation window closes, research may begin automatically. Once research begins, all sales are final except for the specific refund circumstances stated in Section 4.

3. Two-hour cancellation window

You may cancel your order for any reason within two (2) hours of completing payment and receive a full refund. Research is held during that full two-hour period. Once the two-hour window has expired, the fee becomes non-refundable except for the specific circumstances stated in Section 4.

4. When a refund is available

A refund is available only in the following circumstances:

• Duplicate or incorrect charge. You were charged in error.
• Northmark Vantage cancels or cannot perform the research. We elect to discontinue the engagement or become unable to perform it for reasons within our reasonable control.
• Inability to produce at least 20 substantiated targets. We are unable to identify at least 20 substantiated targets without lowering the research standard, unless you agree to accept a smaller shortlist instead.
• Complete non-delivery within 20 business days. Delivery is not considered late where delay is caused by missing or insufficient information from you, or circumstances outside our reasonable control.

5. How to make an ordinary refund claim

Ordinary refund claims for qualifying circumstances discovered after delivery must be made in writing within three (3) business days of delivery. Claims after that window will not be honored, other than duplicate/incorrect charges, which remain open.

6. The Research Fit Guarantee

For complaints that a delivered target clearly violates a hard criterion stored in your intake at the time of payment, the Research Fit Guarantee is the sole and exclusive remedy. We will replace the affected target at no charge, provided the request is submitted within five (5) business days of delivery. There is no cash refund under the guarantee.

7. What is not refundable

No refund will be issued for change of mind; a change in thesis or investment strategy; disagreement with ranking; a decision not to pursue delivered targets; inability to finance a transaction; a target not being for sale; no response or delayed response from a target; perceived target price; disagreement with an evidence-based judgment; information not being publicly available or being incomplete/out-of-date; or receiving 20 or more substantiated targets when you expected a larger shortlist. The engagement promises 20+ substantiated targets, not a fixed maximum.

8. No guarantee of a transaction

Northmark Vantage does not warrant or guarantee that any target delivered is for sale, will respond to outreach from you, can be acquired, or will result in a transaction. Targets are evaluated using available research information; outreach is not performed.

9. Applicable law

These terms remain subject to applicable law. Where any provision is held unenforceable, the remaining provisions continue in full force and effect.
